Saudi Arabia's Companies Law permits a limited liability company to have a single owner.

For the foreign-investor scenario covered in this article, Vertex limits the guidance to a foreign legal entity / foreign company as the sole shareholder.

We do not present an ordinary foreign individual as the standard sole-owner route in this guide.

Can one foreign company own a Saudi LLC?

Yes, where the foreign company and proposed activity meet the applicable Investment Registration, ownership and sector requirements.

A structure may therefore be:

Foreign parent company → 100% owned Saudi LLC

provided the activity allows that ownership structure.

Why this is different from saying “any foreign individual can open a one-person LLC”

The Companies Law allows an LLC to have one natural or legal owner as a matter of company law.

However, foreign-investor eligibility is a separate question governed by the investment framework.

MISA's current FAQ identifies foreign legal entities and foreign companies as part of the Investment Registration framework, while Premium Residency is a separate individual category.

Accordingly, this Vertex article focuses on the foreign-company sole-owner route and does not describe an ordinary foreign individual as an eligible route.

Is the Saudi LLC separate from the foreign owner?

Yes.

The LLC has assets and liabilities separate from the sole shareholder.

The company is responsible for the obligations arising from its own activities, while the owner's liability is generally limited according to the applicable company-law framework.

Who exercises shareholder powers when there is only one owner?

Where an LLC has one owner, the sole shareholder exercises the powers that would otherwise be exercised by the partner bodies under the company structure.

Corporate decisions should still be documented properly in writing and maintained in the company's records.

A one-owner company is not an informal structure.

Can the foreign owner appoint a manager?

Yes.

The sole shareholder can appoint one or more managers in accordance with the company documents and applicable law.

Ownership and day-to-day management therefore do not have to be performed by the same legal person.

Investment Registration still applies

The fact that one foreign company can own the LLC under company law does not eliminate the Investment Registration requirement where it applies.

The analysis remains:

  1. identify the foreign corporate shareholder;
  2. confirm the activity;
  3. confirm whether 100% foreign ownership is permitted;
  4. complete Investment Registration;
  5. establish the Saudi LLC;
  6. obtain additional sector licences if required.

What if the activity requires Saudi participation?

Then the company cannot remain a 100%-owned foreign single-owner LLC for that activity.

The ownership structure must comply with the current MISA activity conditions and any sector-regulator requirements.

Does one owner mean fewer compliance obligations?

No.

The LLC remains a Saudi company and continues to have accounting, tax, corporate-record, beneficial-ownership and regulatory obligations according to its activities and circumstances.

What happens if another shareholder joins later?

The LLC can move from a single-owner structure to a multi-owner structure if ownership is changed in accordance with the applicable company and investment rules.

For a foreign-owned company, a shareholder change may also require an update to the Investment Registration and company records.

Practical answer

A foreign company can be the sole owner of a Saudi LLC where the activity and current Investment Registration rules permit 100% foreign ownership.

This article intentionally does not present an ordinary foreign individual as the standard sole-owner route. Individual eligibility should be assessed separately under the current investment framework, including any distinct category such as Premium Residency.
