LLC, Branch or Joint-Stock Company: How Saudi Company Structures Differ

Three panels comparing company structures: a standalone building, a branch linked to a global network, and a shareholders' boardroom.

A foreign investor entering Saudi Arabia will often encounter three structures early in the planning process: a limited liability company, a branch of the foreign parent company, and a joint-stock company.

They are not simply different names for the same arrangement.

The choice affects the legal identity of the Saudi operation, its relationship with the foreign parent, governance, liability, future shareholders and how the business can develop.

Limited liability company

A Saudi LLC is a separate Saudi company that can be established by one or more natural or legal persons.

The company's assets and liabilities are separate from those of its owners, and owner liability is generally limited to the ownership interest in the company.

For many privately held foreign investors, an LLC provides a practical structure for a standalone Saudi subsidiary.

It can have its own Commercial Registration, management, contracts, accounts, assets, liabilities and compliance obligations.

Foreign-company branch

A branch works differently.

The branch represents the foreign company directly in Saudi Arabia rather than creating a separate Saudi subsidiary with its own shareholder structure.

The direct connection to the foreign parent is therefore the central legal and commercial distinction.

A branch still has Saudi accounting, regulatory and operating obligations, but it remains part of the foreign company.

This structure can make sense where the parent deliberately wants to operate directly in the Kingdom.

Joint-stock company

A joint-stock company is a separate Saudi company with capital divided into shares.

It uses a more formal share-based ownership and governance framework, including board and shareholder mechanisms.

This can make the structure appropriate where institutional governance, broader ownership, financing or future investment arrangements are central to the business model.

Saudi law also provides for the simplified joint-stock company, which offers greater flexibility for some growth and investment structures.

Practical comparison

  • Separate Saudi company — LLC: Yes; Foreign Branch: No separate subsidiary; Joint-Stock Company: Yes
  • Ownership — LLC: Owner/partners; Foreign Branch: Foreign parent; Joint-Stock Company: Shareholders
  • Liability framework — LLC: Company is separate; owner liability generally limited; Foreign Branch: Direct parent-company connection; Joint-Stock Company: Company is separate; shareholder liability generally limited
  • Management — LLC: Manager or managers; Foreign Branch: Branch manager; Joint-Stock Company: Board/shareholder governance
  • Capital structure — LLC: Ownership interests; Foreign Branch: Branch of parent; Joint-Stock Company: Shares
  • Typical use — LLC: Privately held operating subsidiary; Foreign Branch: Direct operation by foreign parent; Joint-Stock Company: Institutional/share-based structure

Which structure is simpler?

There is no universal answer.

An LLC may be the natural starting point for a privately held Saudi subsidiary.

A branch may fit an investor that wants direct parent-company operation.

A joint-stock structure may be better where governance, financing and future shareholders justify it.

What should be reviewed before choosing?

Vertex confirms:

  1. ownership;
  2. activity;
  3. desired separation from the parent;
  4. future investors;
  5. governance needs;
  6. financing plans;
  7. sector-regulator conditions;
  8. tax and accounting implications.
