Yes. A foreign investor can establish or participate in a limited liability company in Saudi Arabia where the investor and proposed activity satisfy the applicable investment and regulatory requirements.

But foreign ownership should never be assessed without first checking the activity.

What is a Saudi LLC?

A limited liability company is a separate Saudi legal entity that can be established by one or more natural or legal persons under the Companies Law.

The company's assets and liabilities are separate from those of its owners, and owner liability is generally limited to the ownership interest in the company.

This makes the LLC a common structure for international businesses that want a standalone Saudi subsidiary.

Can a foreign company own the LLC?

Yes, subject to the Investment Registration and activity requirements that apply to that investor.

A common structure is:

Foreign parent company → Saudi LLC subsidiary

The Saudi LLC then operates as its own Saudi company rather than merely as an office of the foreign parent.

Does a foreign-owned LLC always need a Saudi partner?

No — but some activities can require Saudi participation.

MISA's current FAQ states clearly that the requirement for a local partner depends on the selected activity: some activities require a local partner, while other activities can be carried out without one.

The current Investor Guide also demonstrates this distinction by maintaining separate investment categories for certain commercial activities with Saudi participation and for qualifying 100%-foreign commercial investment.

Therefore, the correct sequence is:

Activity first → ownership requirement second → company structure third.

A foreign investor should not assume either that a Saudi partner is always required or that 100% foreign ownership is always automatically available.

Why commercial activities need particular attention

Some commercial categories can have additional ownership, capital, market-presence or other investment requirements.

Depending on the commercial activity and investor profile, the investor may need Saudi participation, or may instead qualify for a 100%-foreign route subject to its own conditions.

For this reason, the commercial activity should be checked against the current MISA Investor Guide and live Investment Registration requirements before the shareholder structure is finalised.

Investment Registration and the LLC are separate stages

Where the foreign investor falls within the registration framework, Investment Registration is completed with the Ministry of Investment before company incorporation.

After registration, the investor proceeds to the Ministry of Commerce / Saudi Business Center to establish the LLC and obtain the Commercial Registration.

A typical sequence is:

Investor and activity review → Investment Registration → LLC establishment → Commercial Registration → additional licence where required

Can one foreign company own the LLC alone?

Saudi company law allows a legal person to be the sole owner of an LLC.

For a foreign company, however, the activity and investment conditions must also permit 100% foreign ownership in the proposed structure.

The Companies Law permission for one owner does not override MISA or sector-regulator rules.

Who manages the LLC?

An LLC can be managed by one or more managers in accordance with the company documents.

Management should be decided early because the foreign shareholder's resolutions, powers of attorney and establishment documents may need to identify the proposed manager and authorities.

Can additional licences still be required?

Yes.

The Commercial Registration does not replace sector licensing.

A company in a regulated activity may still need approval from another competent authority.

Practical answer

A foreign investor can establish a Saudi LLC, but the ownership structure depends on the activity.

Some activities allow 100% foreign ownership, while some activities or investment categories may require a Saudi partner or Saudi participation.

The activity should therefore be checked before the shareholder structure and corporate documents are finalised.
