The Process

  3. Name, articles, and CR. Trade name reservation, articles of association, and commercial registration through the Ministry of Commerce (typically 1–2 weeks).
  4. Government registrations. ZATCA, GOSI, Qiwa, national address, and Chamber activation — mostly run in parallel (typically 1–2 weeks).
  5. General manager and bank account. GM visa and iqama, then the corporate account (typically 2–6 weeks; bank KYC timelines vary).

Can a foreign investor own 100% of a Saudi company?

Yes — for most service, commercial, and industrial activities, a MISA investment license allows 100% foreign ownership with no local partner. A limited list of activities is restricted or carries extra conditions, so we confirm eligibility for your specific activity before anything is filed.

Is there a minimum capital requirement?

Many service activities have no fixed statutory minimum — the capital is what you declare in the articles of association. Certain license types, such as retail and trading with full foreign ownership, do carry substantial capital and investment conditions under MISA policy. We tell you which case applies to you before you commit.

How long does the full setup take?

With attested documents in hand, most formations run 6–10 weeks from MISA application to an operational bank account. This is a general estimate — the actual timeline depends on your industry and licence type. The most common delay is document attestation in your home country, so we start that checklist on day one.

Do I need a physical office in Saudi Arabia?

Every company needs a registered national address, but many activities can start from a serviced or flexi office that satisfies it. Activities that require municipal premises licensing — retail, F&B, industrial — need physical space; we flag this in the scoping call.

Do I need a Saudi sponsor or local partner?

No. Under a MISA investment license the company is its own legal sponsor: it sponsors the iqamas of its foreign employees, including the general manager. The old sponsor (kafeel) model does not apply to licensed foreign investment.
